Job Description
The role provides strategic and tactical legal advice and leadership, primarily to the GE Grid and Energy Connections businesses and GGO organization in Russia, but also to the broader international GE team with a strong focus on the Russia/CIS region.
Essential Responsibilities In this role, you will be responsible for providing legal advice and support for a broad range of corporate functions and business operations in Russia, including commercial and operational activities (such as long-term supply arrangements, sales, sourcing, licensing, services, consortium and sub-contracting agreements and other strategic transactions), labor and employment issues, regulatory and legislative developments and litigation management/support. Specific responsibilities may include:
•Provide legal leadership and strategic legal advice to the GE Grid and Energy Connections business teams and GGO Legal team in Russia.
•Provide legal support regarding corporate law, general commercial matters and transactions, contract law, regulations, and contract interpretation, particularly concerning disputes or other issues that may arise during contract execution and performance.
•Assist the business team in assessing the risk profile of its operations and transactions and in developing appropriate measures to address and mitigate the identified risks.
•Advise the business on regulatory, privacy, controllership, and antitrust matters, as well as tender, bidding and local public procurement practices.
•Structure, negotiate, review and draft domestic and international agreements including sales, sourcing, licensing, services, consortium and sub-contracting arrangements.
•Advise the business on other legal issues raised in the commercial and operational process and make appropriate recommendations regarding business processes and policies.
•Build commercial policies and procedures in accordance with GE’s policies, and ensure consistent application of these throughout the business, through sound partnering with the business.
•Provide ongoing advice and support for other corporate functions (such as HR, sourcing, finance, government relations), including compliance/integrity investigations when needed.
•Monitor emerging issues and changes in the legislative and regulatory environment, and where appropriate, ensure that relevant business team members and Senior Management are informed of such issues and changes. This includes liaising with industry bodies, regulators and external lawyers.
•Advise and support in relation to company processes and policies (including internal procedures) and make appropriate recommendations.
•Create legal forms and develop/implement best practices.
•Keep abreast of legal developments in the region, particularly new commercial and regulatory risks that may arise.
•Select and supervise outside counsel (as needed) to advise on regulatory issues, litigation and commercial/transactional matters, including identifying issues for advice, providing instructions, negotiating fees, reviewing advice received, managing budgets, and liaising between business and external counsel.
•Work in accordance with company policies and procedures, demonstrating company values and high ethical standards; help drive a strong compliance culture within the business and region.
•Administrative tasks in support of the above.
•Other reasonable/developmental tasks as directed.
Qualifications/Requirements •Master’s degree in law from a law school of recognized standing.
•Minimum eight (8) years of legal post-qualification experience, preferably in a premier law firm and/or corporate legal department that includes: general commercial support and legal advice, substantial "hands-on" experience drafting commercial agreements; track record of success in working and negotiating with international customers.
•Experience in the energy connections/grid industry, including experience negotiating contracts and managing projects with state and private companies
•The experience in legal trials with focus of bankruptcy processes and be able to travel at least 20% of the time to the regions in order to take part in trials.
•Knowledge of the industry (substantial automation and high-voltage equipment procurement and commissioning)
•Experience in working with state-owned energy companies
•Strong knowledge of corporate law, experience in preparing and conducting of shareholder’s meetings.
•Extensive knowledge of general corporate/commercial law and legal practice in the region, including relevant commercial and industry-specific legislation.
•Ability to resolve legal issues quickly and effectively, to make on-the-spot risk calls and to provide creative solution-oriented advice in a multi-cultural fast paced environment.
•Substantial experience addressing compliance and regulatory issues.

•Ability to handle multiple inquiries and assignments in a time pressured environment.

•Fluency in English and Russian languages (both written and verbal).
•Ability to work independently and in a team setting.
•Must have legal authorization to work in Moscow, Russia.
